Terms of Service

1 Parties & Agreement

These Terms constitute a legally binding agreement between you (the user or client) and DeoLang (a unit of BlueTech Labs), registered and operating from Jorhat, Assam, India. "Services" refers to all software development, web applications, SEO, and related IT services offered by DeoLang.

2 Use of Services

You agree to use our website and services only for lawful purposes and in compliance with these Terms. You must not:

• Use our services to engage in any fraudulent, illegal, or harmful activity
• Attempt to gain unauthorized access to any part of our systems
• Copy, reproduce, or reverse-engineer any proprietary software or code owned by DeoLang
• Use our services to harm, harass, or impersonate any individual or organization
• Violate any applicable local, state, national, or international law

3 Intellectual Property

All original software, designs, code, branding, and content created by DeoLang remain the intellectual property of DeoLang or its respective owners unless explicitly transferred to the client under a separate written agreement.

Upon full payment, clients receive a license to use the deliverables as agreed in their project contract. Source code ownership terms are defined per-project in the Statement of Work (SOW).

4 Payment & Billing

Clients agree to pay for services as outlined in the project proposal or invoice. Payments are due within the period specified in the agreement. DeoLang reserves the right to:

• Suspend or terminate services for non-payment
• Charge applicable late fees for overdue invoices
• Withhold delivery of final deliverables until payment is received in full

All prices are in Indian Rupees (INR) unless otherwise agreed. Taxes applicable as per Indian law (GST) may be added.

5 Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-critical information shared during the engagement. DeoLang will not share client project details, source code, business data, or strategies with any third party without prior written consent.

6 Disclaimer of Warranties

DeoLang's services are provided "as is" and "as available". While we strive for excellence in every project, we do not guarantee that our services will be uninterrupted, error-free, or free from bugs. Specific warranties, if any, are stated in the individual project agreement.

7 Limitation of Liability

To the maximum extent permitted by applicable law, DeoLang shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, business opportunities, or reputation.

DeoLang's total aggregate liability to any client shall not exceed the amount paid by that client for the specific service giving rise to the claim.

8 Termination

Either party may terminate a project engagement with written notice as per the terms in the project agreement. DeoLang reserves the right to terminate access to services immediately in case of:

• Breach of these Terms of Service
• Non-payment for delivered services
• Engaging in abusive or illegal conduct

Sections on intellectual property, confidentiality, and limitation of liability survive termination.

9 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to the jurisdiction of the courts in Jorhat, Assam, India.

10 Changes to These Terms

DeoLang reserves the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance.
